(I) Our agreement.​
This agreement is made between yourself who will be referred to as "Client" and Recube Ltd - company number - 16056206 who will be referred to as "Recube" with pertinence to the supply of permanent professional(s) to "Client" to be employed directly by “Client".
This is an individual agreement independent of any past or future agreements made with "Recube".
Our agreement will be initiated by way of payment of the invoice for the placement fee with these terms attached. The transaction will serve as a digital signature.
Any promotional prices will be reflected on the invoice. Payment of the price stated on the invoice will initiate the agreement whether or not it is promotional.
(II) Exclusivity.
"Client" agrees to exclusively engage "Recube" to source the requested professional(s).
(IIV) Advertising and sourcing rights.
"Client" gives "Recube" permission to advertise and source professional(s) by all reasonable and necessary means in order to fill the relevant position(s).​
(IV) Interview process.
If the professional(s) introduced by "Recube" is (are) rejected after the interview with "Client" and employed by "Client" within 12 weeks of the rejection in question, the "Client" agrees that the full placement fee becomes payable to "Recube" unless there is a valid reason for postponing the offer of employment.
(V) Selection process.
"Recube” agrees to (i) take all reasonable steps including use of our rigorous selection method to ensure that the most suitable professional(s) are sourced for "Client". (ii) Ensure that both "Client" and the professionals introduced are aware of any legal, medical or professional requirements for the professionals to be placed in the role in question. (iii) Confirm that the professional(s) are willing to work in the position. (iv) Certify all references provided by the professional(s) (v) and that the professional(s) is (are) capable of working to a high standard. (vi) Verify the professional(s) right to work given their current legal circumstances.
(VI) Replacements.
If the supplied professional(s) employment that is initiated as a result of this agreement is terminated either independently by the supplied professional(s) or by the "Client" due to gross misconduct of the supplied professional(s) within 12 weeks of initiation of employment, "Recube" will replace the professional(s) with another free of charge. This 12 weeks will reset every time the professional(s) is (are) replaced.
(VII) Introductions to other parties.
Introductions of the professional(s) are confidential. The details of the professional(s) are not to be disclosed by the "Client" to any external organisations or civilians not directly employed by the "Client" under any circumstances. This is in order to maintain compliance with the General Data Protection Regulations (GDPR). "Recube" Will handle the introductions of Recube professionals.
(IIX) General Data Protection Regulations (GDPR).
"Recube" agrees to remain compliant with the GDPR by (i) treating all personal information as confidential. (ii) Only keeping personal data for as long as it is needed. (iii) Keeping record of all held personal data and its purpose. (iv) Ensuring Recube professionals know that I have their data and understand how I use it. (v) Only collecting the data I need. (vi) Allowing those who wish to have their personal data deleted by way of any form of notification.
(IX) Liability.
"Recube" will hold preliminary telephone interviews to certify the high potential for the professional(s) to succeed in their interview and position.
"Recube" will not be held liable under any circumstances for any form of (i) loss, (ii) injury, (iiv) penalization, (iv) negligence, (v) fraud, (vi) damage or (vii) costs that are (i) incurred, (ii) sustained, (iiv) suffered or (iv) executed by the professional(s) supplied by "Recube".
This is because the "Client" agrees if necessary to independently hold secondary interviews to certify the professional(s) for competency and carry out all further necessary checks prior to making an offer of employment.
(X) Updates.
"Client" agrees to inform "Recube" with the relevant details of the supplied professional(s) progress via email or phone including but not limited to (i) offers of employment, (ii) initiation (iii) and termination of employment within 12 weeks of initiation of employment.​
(XI) Adaptation.
In order to adapt this agreement; new terms must be mutually agreed by "Recube" and "Client" and possessed in text by both parties before or after the agreement is initiated.
Once the adapted terms are agreed and shared in text they will come into effect.
(XII) Governing law and jurisdiction.
This agreement is to be construed in accordance with the laws of the United Kingdom.
"Client" agrees to remain compliant with employment law and not violate the rights of the supplied professional(s).​
The courts of the United Kingdom have exclusive authority to deal with any breaches of the terms of this agreement.
(XIII) Penalties.
If any of the terms of this agreement are breached by either party an adequate remedy will be concocted in court or through mutual agreement.
